Metis Partners is pleased to present a unique opportunity to acquire the business and intellectual property (“IP”) owned by a UK-based Software and SaaS vendor of communication software designed to improve customer conversations and compliance (the “Company”).
Founded in 1991, the Company develops and sells software to help businesses communicate better with their customers and employees, by routing communications more effectively. The Company’s software enables organisations to manage customer interactions seamlessly from a single, unified platform. By leveraging Microsoft Teams, the technology enhances communication and collaboration between agents and the wider business, enabling faster, more consistent support across multiple channels – including voice, webchat, WhatsApp, SMS and email.
The Company operates a B2B business model, targeting SMEs that use Microsoft Teams phone-based sales and service teams operating in the UK, including Finance and Professional Services, Retail, Health and Local Government. In addition, for almost 30 years, the Company has cultivated longstanding reseller partnerships with BT, Deloitte and PwC.

The Company’s legacy services include:
- Mobile Compliance: Voice and SMS recording for regulated businesses
- Hosted Communications: IP Telephony and Applications as a Service
These legacy services were generating over £5m annual revenue in 2020 & 2021, and have now declined to circa £2m annually. In response to market changes, the Company has invested more than £1m developing new technologies: (i) an Informal Contact Centre for Teams, that integrates effortlessly with existing CRM and business systems via Microsoft Power Apps, while Power BI dashboards provide actionable insights from historical data to inform strategic decisions, and (ii) an innovative Voice AI Studio. The new technologies are currently in the early stage of commercialisation.
Product Overview
Software – Developed over 30 years, the Company’s proprietary legacy services software stack includes direct routing, mobile voice and SMS recording, and managed services for unified communications. The software is written in C/C++ Microsoft Visual Studio. Web, SQL and follows an Agile methodology.

- Direct routing: Replaces existing telephony system with a set of cloud delivered features from Microsoft Teams and Direct Routing (PSTN) services; single point of access to monitor and manage all Microsoft services, including telephony.

- Managed services for unified communications: Consolidate Microsoft Teams voice services into a single supplier to save costs and improve call-handling performance to maximise productivity and enhance customer experience; and quickly identify and resolve network issues to maintain service levels regardless of where employees are working from.
